# Electronic User Agreement and Licensing Contract

## Section 1. Parties and Scope of Grant

### 1.1 Licensor
UnytiGroup (operating via unytigroup.com, hereinafter "Platform Provider" or "Licensor")

### 1.2 Licensee
The registered platform subscriber holding an active Free Membership (hereinafter "Member" or "Licensee").

### 1.3 Grant of Rights
The Platform Provider grants the Member a limited, non-exclusive, revocable license to access and utilize basic platform features, digital workspace tools, and standard functionalities available under the Free Membership tier.

## Section 2. Permitted Use and Core Privileges

### 2.1 Digital Workspace
Permission to utilize the UnytiGroup infrastructure as an operational digital workspace to conduct business and manage workflows.

### 2.2 Restricted Marketplace Selling
The Member is granted the right to list and sell goods or services strictly and exclusively on the main marketplace page of unytigroup.com. Selling on any other secondary pages, specialized sub-marketplaces, or unauthorized sections is strictly prohibited under the Free Membership.

### 2.3 Promotional Features (Separate Add-on)
Clarification that promotional tools, marketing boosts, and enhanced visibility features are separate features subject to distinct activation terms, upgrade paths, or separate fees, and are not inherently bundled into the baseline Free Membership.

## Section 3. Financial Terms and Fee Structure

### 3.1 Transaction Fee Mechanism
The Member acknowledges and agrees that for every successful business transaction conducted through their main marketplace listings, UnytiGroup is authorized to receive and deduct its designated platform fee per transaction. Conversely, the Member receives the remaining balance or agreed revenue share as outlined in the platform fee schedule.

## Section 4. Member Sole Responsibility and Liability Disclaimer

### 4.1 Full Member Accountability
Explicitly state that all members are solely and exclusively responsible for their actions, conduct, transactions, and content on the platform.

### 4.2 No Platform Legal Protection
Explicitly clarify that members are not legally protected, insured, or indemnified by UnytiGroup for any liabilities, disputes, losses, or legal infractions arising from their workspace operations or marketplace transactions. UnytiGroup acts purely as a technology host without assuming liability for user-generated actions or commercial dealings.

## Section 5. Intellectual Property and Subdomain Rights

### 5.1 General IP Allocation
UnytiGroup retains all underlying platform code, software, brand assets, and infrastructure rights. The Member retains ownership of their standalone proprietary business content.

### 5.2 Subdomain and Sub-Subdomain Ownership Clarification
In the event that a subdomain or sub-subdomain is issued to a Member (whether as a feature upgrade or special arrangement):

1. The sub-domain, sub-sub-domain, physical page design, layout, code, and structural presentation remain exclusively the property of UnytiGroup.
2. The Member retains ownership solely of their company legal identity content and core business-specific content (such as specific product descriptions or brand text inputs).
3. The digital real estate itself (the subdomain or sub-subdomain and its designed pages) belongs entirely to the platform, and the Member holds only a temporary, revocable right of use.

## Section 6. Mandatory Legal Protections and Boilerplate Clauses

### 6.1 Electronic Acceptance and Execution
Validity of electronic signatures, click-wrap assent, and timestamp logs under standard e-sign frameworks upon registering for the Free Membership.

### 6.2 Compliance and Acceptable Use
Strict prohibition of fraudulent, illicit, or harmful activities; Member full liability for content, listings, and transactions generated through their workspace and main marketplace page.

### 6.3 Termination and Revocation
Clear conditions under which the Free Membership, platform access, and marketplace selling privileges can be suspended, revoked, or terminated for breach of contract, resulting in the immediate forfeiture of any assigned subdomains.
